SaySo Terms of Service

Welcome to SaySo, a creator and news platform operated by The News Movement ("SaySo," "we," "our," or "us"). These Terms of Service, together with Exhibit A for Creators, ("Terms") are a legally binding agreement between you and SaySo and govern your access to and use of our websites, mobile applications, features, technologies, and services (collectively, the "Services"). Please read these Terms carefully. By creating an account, accessing, or using the Services, you agree to be bound by them, as well as our Privacy Policy and Community Guidelines, each of which is incorporated by reference. If there is a conflict between these Terms and the Community Guidelines, these Terms shall control.

1. Eligibility

You must be at least 13 years old, or the minimum legal age in your jurisdiction (16 years old in the European Union), to use the Services. By accessing or using the Services, you represent that you meet this requirement and that you have the legal capacity to enter into these Terms. If you are using the Services on behalf of an organization or business, you represent that you are authorized to bind that entity to these Terms, and "you" will include that entity.

2. Accounts and Security

In order to use certain features, you may need to register for a SaySo account. You agree to provide accurate, current, and complete information during registration and to keep this information up to date. You are solely responsible for maintaining the confidentiality of your login credentials and for all activity occurring under your account.

You must not share your account with others or use another person's account without authorization. SaySo is not responsible for any loss or damage arising from your failure to comply with these requirements. We reserve the right to suspend or terminate your account at any time if we believe you have violated these Terms or otherwise present a risk to the platform or its users.

3. Your Content

You retain ownership of the content you submit, upload, post, or otherwise make available through the Services ("User Content"). However, by providing User Content to the Services, you grant SaySo a worldwide, non-exclusive, royalty-free, sublicensable, irrevocable and transferable license to host, store, use, reproduce, modify, adapt, edit, publish, translate, distribute, publicly perform, publicly display, and create derivative works of your User Content in connection with the operation, improvement, and promotion of the Services.

This license allows SaySo to make your User Content available to other users of the Services and to third parties who partner with us for distribution, promotion, or monetization. You understand that your User Content may be viewed by others, including by users outside your region.

You are solely responsible for your User Content and for ensuring that you have all rights and permissions necessary to grant the license above. You also acknowledge that we may, but are not obligated to, monitor or review User Content and may remove or restrict access to User Content that violates these Terms, our policies, or applicable law.

4. SaySo's Content and Intellectual Property

All rights, title, and interest in and to the Services, including but not limited to the design, text, graphics, interfaces, software, logos, trademarks, and other proprietary materials provided by SaySo, are owned by or licensed to SaySo and are protected under intellectual property laws. Except as expressly permitted, you may not copy, reproduce, modify, distribute, create derivative works, publicly display, or otherwise exploit any part of the Services without our prior written consent.

5. Copyright Complaints

If you believe that content available on the Services infringes your copyright, you may submit a notice of alleged infringement by providing: (a) a description of the copyrighted work; (b) identification of the allegedly infringing material and its location on the Services; (c) your contact information; (d) a statement that you have a good faith belief the use is not authorized; and (e) a statement, under penalty of perjury, that the information provided is accurate and that you are authorized to act on behalf of the copyright owner.

SaySo may remove allegedly infringing material and terminate repeat infringers in appropriate circumstances.

6. Acceptable Use and Prohibited Conduct

You agree not to use the Services in any manner that: (a) Violates any applicable law, regulation, or court order; (b) Infringes the intellectual property, privacy, publicity, or other rights of any person; (c) Is unlawful, harmful, fraudulent, defamatory, obscene, hateful, discriminatory, harassing, or otherwise objectionable; (d) Spreads misinformation or impersonates any person or entity; (e) Involves unsolicited promotions, spam, or deceptive schemes; or (f) Attempts to circumvent, disable, or interfere with security features of the Services.

We reserve the right to enforce these restrictions, including by removing content, suspending or terminating accounts, and reporting unlawful activity to appropriate authorities.

7. Monetization and Payments

SaySo may provide creators with monetization tools such as tips, subscriptions, advertisements, or brand partnerships. Any earnings you receive are subject to the specific terms, policies, and eligibility criteria provided by SaySo. We may deduct service fees or revenue shares as disclosed to you.

You are solely responsible for determining and fulfilling any tax obligations that arise from your use of the Services, including income, sales, or other taxes. SaySo may withhold or delay payments if we believe you are in violation of these Terms, if we detect fraud or misuse, or if required by law.

We reserve the right to withhold, offset, recover, or reverse payments in cases of suspected fraud, chargebacks, policy violations, or errors.

All payments are processed through third-party payment providers. By using monetization features, you agree to comply with the applicable terms of those providers.

Subscription fees and purchases are generally non-refundable except where required by applicable law. We may change pricing or monetization features at our discretion, with reasonable notice where required.

Nothing in these Terms creates any partnership, joint venture, employment, or agency relationship between you and SaySo. Creators are independent users of the Services.

8. Third-Party Services

The Services may contain links to, or integrations with, third-party platforms or services. Your dealings with such third parties are solely between you and them, and SaySo is not responsible for their terms, practices, or content. You acknowledge that your use of third-party services is at your own risk and may be governed by the terms of those providers.

9. Suspension and Termination

We may suspend or terminate your account or access to the Services at any time, with or without notice, if we reasonably believe you have violated these Terms, engaged in fraudulent or illegal activity, or created risk or harm to us, our users, or others.

You may terminate your account at any time by following the instructions within the Services. However, termination does not relieve you of any obligations that accrued before termination, and certain provisions of these Terms will continue to apply even after your account is closed.

10. Disclaimers of Warranties

The Services are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, SaySo disclaims all warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We do not warrant that the Services will be uninterrupted, secure, error-free, or free of harmful components. We also do not endorse or guarantee the accuracy of any User Content, and you agree that you access such content at your own risk.

11. Limitation of Liability

To the maximum extent permitted by law, SaySo and its affiliates, directors, officers, employees, and agents shall not be liable for any indirect, incidental, consequential, punitive, or special damages, including but not limited to loss of profits, data, goodwill, or reputation, arising out of or related to your use of or inability to use the Services.

Our aggregate liability to you for all claims relating to the Services shall not exceed the greater of one hundred (£100 / $100 / €100) or the amount you paid to us, if any, in the twelve (12) months prior to the claim.

12. Indemnification

You agree to indemnify, defend, and hold harmless SaySo, The News Movement, and our respective affiliates, officers, employees, and partners from and against any claims, damages, liabilities, losses, costs, or expenses (including reasonable attorneys' fees) arising from: (a) your use of the Services; (b) your violation of these Terms; or (c) your violation of any rights of another party.

13. Governing Law and Jurisdiction; Arbitration

1) Users Located in the United States: These Terms are governed by the laws of the State of New York, without regard to conflict-of-law principles. Any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall be resolved through binding individual arbitration administered by the American Arbitration Association (AAA) under its applicable rules. Arbitration will take place in New York, New York, unless otherwise agreed. You waive the right to participate in any class action or class-wide arbitration.

2) Users Located in the United Kingdom or European Union: These Terms are governed by the laws of England and Wales. Nothing in these Terms limits any mandatory consumer protections available under the laws of your country of residence. You may bring claims in the courts of your country of residence or in England and Wales, as permitted by applicable law.

3) General: To the extent permitted by law, any dispute not subject to arbitration shall be brought exclusively in the courts specified above.

14. Changes to These Terms

We may revise these Terms from time to time. If changes are material, we will provide notice through the Services or by other means before they take effect. By continuing to use the Services after revised Terms become effective, you agree to be bound by them.
